New independent members join HELLA shareholder committee and supervisory board

Judith Buss and Andreas Renschler are to join the shareholder committee and the supervisory board of HELLA GmbH & Co. KGaA as independent members.

The corresponding election of candidates is to take place at HELLA’s Annual General Meeting on 30th September, 2022.

Andreas Renschler is then also to take over as Chairman of the Supervisory Board and on that board, Judith Buss is to act as Chairwoman of the Audit Committee.

Andreas Renschler and Judith Buss thus succeed Klaus Kühn, who announced at the beginning of this week that, for personal reasons, he would be stepping down from the aforementioned positions at the end of the Annual General Meeting.

Andreas Renschler (64) worked for the car manufacturers Daimler and Volkswagen for many years.

As a member of the management board of Volkswagen AG, he was responsible for the commercial vehicles business and before that, the industrial engineer was, among other things, a member of the Board of Management of Daimler AG, and was responsible for the truck business, production and purchasing at Mercedes-Benz Cars and the Vans business unit. Judith Buss (53) has more than 20 years of experience in the energy and finance industry.

During her career, she has served as, among others, Chief Financial Officer for various companies of the energy group E.ON,. She also currently holds supervisory board mandates for other companies in the energy industry.

“We are pleased that with Judith Buss and Andreas Renschler, two very experienced candidates are to join the Shareholder Committee and that, together with Wolfgang Ziebart, there will thus again be three independent members on the committee from the Annual General Meeting in September 2022 onwards,” says Carl-Peter Forster, chairman of the HELLA shareholder committee.

“Ms. Buss and Mr. Renschler have, among other things, international management experience, as well as extensive overall industry knowledge. As such, they excellently fulfill the required competence profiles for appointments to the Shareholder Committee.”

Klaus Kühn, chairman of the supervisory board and member of the shareholder committee, said: “Judith Buss and Andreas Renschler would significantly enrich the work of the Supervisory Board with their experience and expertise.

“They would support the company as independent members in an advisory capacity in the spirit of good corporate governance and thus, at the same time, be important guarantors of HELLA’s continued success.

“In addition, they would increase the number of independent representatives on the Supervisory Board to three.”

The Annual General Meeting of HELLA GmbH & Co. KGaA will be held on 30th September, 2022.

Detailed information on the election proposals, as well as on the other items on the agenda, will be provided in the invitation to the Annual General Meeting, which HELLA expects to publish in the German Federal Gazette and on the company’s website in mid-August 2022.
